Terms of Service
Last updated: November 2, 2026
This page is a plain-language draft written by the Prepwise team. It is not legal advice and has not been reviewed by a lawyer.
Prepwise is a private beta. By using it you agree to these terms. We wrote them in plain language on purpose.
1. What Prepwise is
Prepwise helps a food business see what it buys (supplier invoices) and what it sells, and suggests what to order next. It is run by [company legal name and mailing address, to be added] ("Prepwise", "we", "us").
2. Invite-only beta
For now you need an invite to use Prepwise. Your account is for you and your own shop. Please do not share your sign-in emails or codes. You must be 18 or older.
It is a beta: features can change, break or go away, and we may reset or end the beta. We will tell you by email before anything that affects your data.
3. Your information is yours
What you put in Prepwise (shop details, suppliers, invoices and their photos, recipes, sales) stays yours. You give us permission to store it and process it only to run Prepwise for you. See the Privacy Policy for the details.
Only upload invoices and photos you have the right to use.
If you connect Clover, you confirm you are allowed to connect that account, and you authorize Prepwise to read its orders, inventory and payments, read-only, until you disconnect or delete the token.
4. Check the numbers
Invoice reading in this beta is a preview: the example lines are labeled "Example line, check it" and you must check every line before you save. Reports, price alerts, the gap between what you bought and what sales explain, and order suggestions are estimates to help you look closer. They are not a verdict, and not accounting, tax or legal advice.
Prepwise never sends orders to a supplier. You copy the message and send it yourself, and you decide what to buy.
Sales from a connected point of sale are a few minutes behind and are not final until the day is over. Refunds and corrections can change them afterwards. Your Clover reports stay the official record.
5. What not to do
- Do not try to get into other people's accounts or data.
- Do not break, overload or reverse-engineer the service.
- Do not upload anything unlawful or harmful, or anything you do not have the right to upload.
- Do not use the service to send spam.
6. Price
The beta is free. If we ever charge, we will tell you first and you can decide whether to continue.
7. Ending your account
You can delete your shop and account yourself at any time: Settings, then Delete shop and account. You can also export your invoices as a CSV file from Reports.
We can pause or close an account that breaks these terms or puts the service or other people at risk. When we can, we will tell you why.
8. No promises, limited responsibility
Prepwise is provided "as is". We work hard to keep it correct and available, but we cannot promise it will always be, and we are not responsible for business decisions made from its numbers. To the extent the law allows, our responsibility to you is limited to what you paid us in the 12 months before the problem, which in the free beta is zero. [Lawyer to review this section.]
9. Changes to these terms
If we change these terms in a way that matters, we will tell you by email or in the app before it applies. If you keep using Prepwise after that, you accept the new terms.
10. Law and contact
These terms are governed by the laws of [state, to be decided with a lawyer]. Questions: [contact email, to be added before launch].
